The Client and Situation
Skaling Ventures is a private equity firm building a portfolio of vertical B2B software companies.
The firm was evaluating an active acquisition opportunity while developing a broader strategy for acquiring and supporting additional businesses. To move forward, Skaling needed analysis that could withstand investor scrutiny, clarify the economics of the immediate opportunity and demonstrate how future capital would be deployed.
The assignment extended beyond forecasting the returns of a single company. The models and materials needed to support acquisition evaluation, investor communication, transaction planning and future portfolio decisions.
The Transaction Objective
Skaling had two connected objectives:
- Present outside investors with a clear, financially supported case for a $20 million capital commitment.
- Establish a reusable analytical framework for evaluating future software acquisitions.
The work needed to communicate both the merits of the immediate opportunity and the repeatability of Skaling’s broader acquisition strategy.
The Constraint
Skaling’s leadership understood the opportunity but did not have the internal time or capacity to build the required models and investor materials while continuing to manage the transaction.
Without a coherent analytical framework, investors would have limited visibility into the acquisition economics, projected returns, downside risks and planned use of capital.
The team needed transaction-ready work that could be used immediately—not a high-level recommendation requiring additional internal development.
The Work Performed
7Alder worked directly with Skaling’s leadership to convert the firm’s acquisition strategy and available financial information into an integrated set of decision and investor materials.
The work included:
- Building financial and acquisition models for the active opportunity
- Structuring revenue, cost, margin and return assumptions
- Developing scenarios to evaluate performance under different operating outcomes
- Connecting operating assumptions to acquisition economics and investor returns
- Preparing materials that clearly communicated the opportunity to outside capital providers
- Creating a framework that could be adapted for future acquisition evaluations
The analysis was designed to remain transparent and usable. Key assumptions, calculations and outputs were structured so that Skaling could understand what was driving the projected results and update the analysis as circumstances changed.
